Setting Up Your Corporation Add-On Options

Do I Need a Physical Minute Book?

In many provinces, including Alberta, the law does not specifically require corporate records to be kept in physical form, so long as they are readily accessible at the records address and can be reproduced easily. A physical minute book is not required.

Benefits of Digital Minute Books

  • Records can be easily shared with accountants, bankers, and potential purchasers
  • Easier to add and subtract shareholders without cancelling physical share certificates
  • Records are stored securely and accessible 24/7 through our corporate records portal
  • No risk of lost or damaged binders

As digital signatures become more prevalent, the use of physical minute books and share certificates will likely fade.

All of our incorporation packages include a digital minute book that can be downloaded and accessed at any time. Physical copies can be printed if desired, but we recommend maintaining files in a central digital location to prevent overlap or confusion.
