Federal vs. Provincial Incorporation

In Canada, a corporation can be incorporated federally or provincially. The laws are similar, but there are important differences.

Federal Incorporation

Federal incorporation is slightly cheaper due to lower government filing fees. However, a federal corporation must also register extra-provincially in any province where it carries on business, which can make it more expensive long-term.

Federal incorporation is typically preferred by businesses that:

  • Do lots of business internationally
  • Have offices and employees in multiple provinces
  • Want greater name protection across Canada
  • Don’t mind the added paperwork and administrative burden

Provincial Incorporation

Provincial incorporation filing fees are higher, but a provincially registered corporation only needs to register in one province if it only operates in one province, meaning lower overall fees and less maintenance.

Provincial incorporation is typically preferred by businesses that:

  • Have offices in a single province
  • Don’t require Canada-wide name protection
  • Prefer to limit paperwork, expense, and ongoing administrative burden

For most small businesses operating primarily in Alberta, provincial incorporation is sufficient and more cost-effective.
