What is a Registered Office?

A corporation’s registered office is an official address listed publicly with the corporate registry. It’s a place at which legal documents can be served upon the corporation, including civil claims, property tax notices, and annual return notices.

Requirements

A registered office must be:

  • A physical address (not a PO box)
  • Accessible to the public during normal business hours

Why Appoint a Law Firm?

Most corporations choose to have a law firm act as the registered office. Reasons include:

  • Many business owners don’t have an office open during regular business hours or prefer not to list their home address publicly
  • A law firm can take steps to delay proceedings when legal documents are served, preventing default judgments
  • A law firm typically arranges to file the corporation’s annual return, preventing the corporation from being struck for failing to file
